The Wendy's Company Announces Preliminary Results Of Tender Offer

DUBLIN, Ohio, Feb. 12, 2014 /PRNewswire/ -- The Wendy's Company (NASDAQ: WEN) announced today the preliminary results of its modified Dutch auction tender offer, which expired at the end of the day, 12:00 midnight, New York City time, on February 11, 2014.

Based on the preliminary count by American Stock Transfer & Trust Company, LLC, the depositary for the tender offer, a total of approximately 31.0 million shares of The Wendy's Company's common stock were validly tendered and not validly withdrawn at or below the purchase price of $9.25 per share, including approximately 0.7 million shares that were tendered through notice of guaranteed delivery.

In accordance with the terms and conditions of the tender offer and based on the preliminary count by the depositary, The Wendy's Company expects to acquire approximately 29.7 million shares of its common stock at a price of $9.25 per share, for an aggregate cost of approximately $275.0 million, excluding fees and expenses relating to the tender offer. As such, The Wendy's Company has been informed by the depositary that the preliminary proration factor for the tender offer is approximately 95.8%. The shares expected to be acquired represent approximately 7.5% of the total number of shares of The Wendy's Company's common stock issued and outstanding as of February 7, 2014.

The number of shares expected to be purchased in the tender offer and the purchase price are preliminary and subject to change. The preliminary information contained in this press release is subject to confirmation by the depositary and is based on the assumption that all shares tendered through notice of guaranteed delivery will be delivered within the three trading day settlement period.
