VEOLIA ENVIRONNEMENT ANNOUNCES THE RESULTS OF THE PREVIOUSLY ANNOUNCED TENDER OFFER OF ANY AND ALL OF ITS 6.750% NOTES DUE 2038

PARIS, Nov. 21, 2022 /PRNewswire/ -- Veolia Environnement S.A. (the "Company") today announced the results of its previously announced offer to purchase for cash (the "Tender Offer") any and all of its 6.750% Notes due 2038 (the "2038 Notes"). The Tender Offer was made upon the terms and subject to the conditions set forth in the Offer to Purchase dated November 10, 2022 (the "Offer to Purchase") and the related notice of guaranteed delivery dated November 10, 2022 (the "Notice of Guaranteed Delivery").

The Tender Offer expired at 5:00 p.m., New York City time, on November 18, 2022 (the "Expiration Date") and withdrawal rights expired at 5:00 p.m., New York City time, on November 18, 2022 (the "Withdrawal Date") and were not extended.

The Company was advised by Global Bondholder Services Corporation (the "Depositary and Information Agent") that, as of the Expiration Date, $111,397,000 aggregate principal amount of the outstanding 2038 Notes had been validly tendered and not withdrawn, as specified in the table below.

Settlement of the Tender Offer and payment of the Purchase Price and Accrued Interest in respect of the 2038 Notes accepted for purchase is expected to take place on November 23, 2022 (the "Settlement Date").

2038 Notes purchased by the Company pursuant to the Tender Offer will be cancelled and will not be re-issued or resold. 2038 Notes which have not been validly tendered and accepted for purchase pursuant to the Tender Offer will remain outstanding after the Settlement Date.
