Virax Biolabs Group Limited Announces Closing of $3.8 Million Private Placement

LONDON, Nov. 8, 2022 /PRNewswire/ -- Virax Biolabs Group Limited ("Virax" or the "Company") (Nasdaq: VRAX), an innovative biotechnology company focused on the prevention, detection, and diagnosis of viral diseases, announced today the closing of its previously announced private placement of 2,330,000 ordinary shares (or ordinary shares equivalents in lieu thereof) at a gross purchase price of $1.65 per share. Additionally, as part of the transaction, Virax has issued unregistered warrants to purchase up to 3,495,000 ordinary shares (the "Ordinary Warrants"). The Ordinary Warrants have an exercise price of $1.73 per share, will become exercisable six months after their date of issuance and will expire five and a half years from their initial date of exercise.

The gross proceeds from the private placement were approximately $3.8 million, before deducting placement agent fees and other offering expenses. The Company intends to use the net proceeds from the private placement for the development and commercialization of its proprietary T-Cell Test technology as well as for working capital and other general corporate purposes.

Roth Capital Partners, LLC is acting as the exclusive placement agent for the offering.
