WHITE KNIGHT CAPITAL CORP. ANNOUNCES ADVANCED LIV GOLF RESTRUCTURING NEGOTIATIONS WITH PIF SOVEREIGN WEALTH FUND

CHEYENNE, Wyo. , Sept. 4, 2026 /PRNewswire/ -- White Knight Capital Corp., a Wyoming corporation ("White Knight"), today announced that it is in advanced negotiations with the Public Investment Fund of Saudi Arabia ("PIF") regarding a comprehensive restructuring of LIV Golf Enterprises ("LIV Golf") and the proposed conversion of PIF's existing debt into equity.

White Knight plans to actively engage with Scott O'Neil, CEO of LIV Golf, along with his management team and advisors, to implement the proposed reorganization and launch LIV Golf 2.0 for the 2027 season, with Mr. O'Neil remaining as CEO to lead the organization.

Under the proposed terms, White Knight plans to take an assignment of PIF's rights, obligations, and claims, followed by a planned reverse merger of LIV Golf 2.0 into a Nasdaq-listed public entity. The post-merger company plans to issue equity shares to LIV Golf professional members, executive management, and new institutional investors.

As part of the proposed transaction, White Knight has requested that PIF commit an additional $100 million in direct equity investment into the public entity. All golfers currently under contract with LIV Golf would be offered updated agreements and equity participation in the Nasdaq-listed company as founding members of the restructured enterprise.

Furthermore, White Knight has arranged an additional $500 million equity facility through a major Wall Street investment bank, subject to completion of the merger and applicable conditions.
