Cerberus to Acquire Substantial Part of the Mechanical Engineering Division of Goodwin plc

Acquisition Builds on Cerberus Supply Chain's Mission-Oriented Strategy of Investing in the Long-Term Security and Resilience of Western-Allied Nations

NEW YORK, Sept. 9, 2026 /PRNewswire/ -- Cerberus Capital Management ("Cerberus"), a global alternative investment firm, today announced that its affiliate has reached an agreement to acquire a substantial part of the Mechanical Engineering Division of Goodwin plc for a headline cash consideration of up to approximately £1.1 billion, subject to customary purchase price adjustments. The transaction is expected to be completed in the first quarter of 2027, subject to the receipt of required regulatory approvals and satisfaction of other customary closing conditions. 

The businesses being acquired include Goodwin Steel Castings Limited, Goodwin International Limited, Noreva GmbH, Easat Group, and the Pump Division. Together, these businesses provide technically demanding, high-integrity solutions across both mature and growth-oriented markets and offer comprehensive solutions that include proprietary design, advanced manufacturing capabilities, and deep technical expertise to aerospace and defence, nuclear, power, and mining customers globally.

The Mechanical Engineering Division serves customers worldwide, including the UK, US, and Australian navies, and is a proud partner to the strategically important AUKUS programme. Following completion of the transaction, the businesses' operations will remain headquartered in Stoke-on-Trent, which will also continue as the major manufacturing centre. Cerberus intends to support the continued growth and advancement of these important manufacturing capabilities, including building on the existing partnership with the UK Ministry of Defence to significantly enhance production capacity in the UK and in support of the AUKUS programme. 

This investment builds on Cerberus' Supply Chain strategy, which is dedicated to advancing the long-term national and economic security and resilience of Western-allied nations.
