MANSFIELD, Pa., Oct. 30, 2026 /PRNewswire/ -- Citizens Financial Services, Inc (Nasdaq: CZFS), parent company of First Citizens Community Bank (the "Bank"), released today its unaudited consolidated financial results for the three and nine months ended September 30, 2026.

      Highlights

      • Net income for the first nine months of 2026 was $32.5 million, which was $6.4 million, or 24.5% more than 2025's net income through September 30, 2025 due to the increase in net interest income after the provision for credit losses of $8.1 million. The effective tax rate for the first nine months of 2026 was 17.9% compared to 19.2% in the comparable period in 2025.

      • Net income was $11.9 million for the three months ended September 30, 2026, which was $1.9 million more than the net income for 2025's comparable period due to an increase in net interest income after the provision for credit losses of $2.6 million. The effective tax rate for the three months ended September 30, 2026 was 18.0% compared to 19.4% in the comparable period in 2025.

      • Net interest income before the provision for credit losses was $79.1 million for the nine months ended September 30, 2026, an increase of $7.3 million, or 10.1%, over the same period a year ago and was primarily due to an increase in loan and investment interest income due to organic growth.

      • Net interest income before the provision for credit losses increased $2.1 million, or 8.4% to $27.3 million for the three months ended September 30, 2026 due to an increase in loan and investment interest income due to organic growth.

      • The provision for credit losses for the nine months ended September 30, 2026 was $1,000,000. There was no provision for credit losses recorded for the three months ended September 30, 2026. This compares to a provision for credit losses of $500,000 and $1,875,000 for the three and nine months ended September 30, 2025, respectively. The provision for 2026 was driven by the updated loss driver analysis for 2026 offset by the economic impact of the Iran conflict and the increase in non-accrual commercial real estate loans.

      • Return on average equity for the three and nine months (annualized) ended September 30, 2026 was 13.39% and 12.36% compared to 12.52% and 11.15% for the three and nine months (annualized) ended September 30, 2025.

      • Return on average tangible equity for the three and nine months (annualized) ended September 30, 2026 was 17.77% and 16.50% compared to 17.29% and 15.56% for the three and nine months (annualized) ended September 30, 2025 (non-GAAP). (1)

      • Return on average assets for the three and nine months (annualized) ended September 30, 2026 was 1.45% and 1.37% compared to 1.33% and 1.16% for the three and nine months (annualized) ended September 30, 2025.

      • Loans grew $152.8 million, or 6.8% since September 30, 2025. Loan growth since December 31, 2025 was $116.4 million, or 6.8% on an annualized basis.

      • Non-performing assets increased $22,355,000 since December 31, 2025 and totaled $51,544,000 as of September 30, 2026, which is $28,550,000 higher than the balance as of September 30, 2025. The increase from December 31, 2025 is primarily due to ten commercial real estate loan relationships and one construction real estate loan relationship, totaling approximately $21.4 million, being placed on non-accrual status during the first nine months of 2026 as a result of becoming more than 90 days past due. The Bank's continued strategy for certain acquired loans is to either improve the credit metrics of the non-performing loans or sell the underlying collateral or have the customers refinance the loans with another institution. As a percent of loans, non-performing assets totaled 2.16%, 1.29% and 1.03% as of September 30, 2026, December 31, 2025 and September 30, 2025, respectively. While non-performing assets have increased significantly as of September 30, 2026 when compared to December 31, 2025 and September 30, 2025, specific reserves for these assets have remained relatively stable at $2,149,000, $1,913,000 and $1,516,000 at September 30, 2026, December 31, 2025 and September 30, 2025, respectively.

Nine Months Ended September 30, 2026 Compared to 2025

      • For the nine months ended September 30, 2026, net income totaled $32,484,000 which compares to net income of $26,089,000 for the first nine months of 2025, an increase of $6,395,000. Basic earnings per share of $6.77 for the first nine months of 2026 compared to $5.44 for the first nine months last year.  Annualized return on equity for the nine months ended September 30, 2026 and 2025 was 12.36% and 11.15%, while annualized return on assets was 1.37% and 1.16%, respectively. The increase in performance when comparing 2026 to 2025 was due to an increase in the net interest margin from 3.44% to 3.66% and a decrease in the provision for credit losses.

      • Net interest income before the provision for credit losses for the nine months ended September 30, 2026 totaled $79,064,000 compared to $71,790,000 for the nine months ended September 30, 2025, resulting in an increase of $7,274,000, or 10.1%.  Average interest earning assets increased $117.2 million for the nine months ended September 30, 2026 compared to the same period last year, primarily due to an increase in average loans. Average loans, which includes loans held for sale-student loans, increased $99.6 million while average investment securities increased $20.0 million. The yield on interest earning assets increased 4 basis points to 5.67%, while the cost of interest-bearing liabilities decreased 24 basis points to 2.48%. As a result, the tax effected net interest margin increased from 3.44% for the nine months ended September 30, 2025 to 3.66% for the nine months ended September 30, 2026.

      • The provision for credit losses for the nine months ended September 30, 2026 was $1,000,000 compared to $1,875,000 for the nine months ended September 30, 2025, a decrease of $875,000. The provision for credit losses associated with loans for the nine months ended September 30, 2026 and 2025 was $1,088,000 and $1,485,000, respectively, while the provision for off-balance sheet items was ($88,000) and $390,000 for the nine months ended September 30, 2026 and 2025, respectively.   The provision for 2026 was due to the annual update of loss drivers, which includes historical loss data, as well as prepayment and curtailment speeds, the economic impact of the conflict with Iran is having on diesel and fertilizer prices, and the increase in non-accrual loans. The provision for 2025 was due to an increase in past due loans and the annual update of loss drivers, which includes historical loss data, as well as prepayment and curtailment speeds.

      • Total non-interest income was $12,012,000 for the nine months ended September 30, 2026, which is $1,066,000 more than the non-interest income of $10,946,000 for the same period last year. The primary driver of the increase was an increase in earnings on bank owned life insurance (BOLI) of $958,000, as the result of purchasing $22,000,000 of additional insurance in the first quarter of 2026.

      • Total non-interest expenses for the nine months ended September 30, 2026 totaled $50,492,000 compared to $48,559,000 for the same period last year, which is an increase of $1,933,000. Salary and benefit costs increased $992,000 due to merit increases and an increase in full-time equivalent employees (FTEs) of 11.9 employees.  Other real estate owned expenses increased due to legal fees and real estate taxes associated with the increase in non-performing loans and other real estate owned.

      • The provision for income taxes increased $887,000 when comparing the nine months ended September 30, 2026 to the same period in 2025 as a result of an increase in income before income taxes of $7,282,000. The effective tax rate was 17.9% and 19.2% for the nine months ended September 30, 2026 and 2025, respectively, with the decrease in the effective tax rate being due to the increase in non-taxable investment income and BOLI income.

Three Months Ended September 30, 2026 Compared to 2025

      • For the three months ended September 30, 2026, net income totaled $11,921,000 which compares to net income of $10,005,000 for the comparable period of 2025, an increase of $1,916,000 or 19.2%.  Basic earnings per share of $2.48 for the three months ended September 30, 2026 compares to $2.09 for the 2025 comparable period. Average interest earning assets increased $261.4 million for the three months ended September 30, 2026 compared to the same period last year, primarily due to increases in the average balance of outstanding commercial loans. Average loans increased $210.6 million, while average investment securities increased $52.5 million. The tax effected net interest margin for the three months ended September 30, 2026 was 3.60% for the three month periods ended September 30, 2026 and 2025. The yield on interest earning assets decreased five basis points to 5.69%, while the cost of interest-bearing liabilities decreased 10 basis points to 2.57%.

      • There was no provision for credit losses recorded in the third quarter of 2026, the provision related to loans was $366,000, while ($366,000) related to off-balance sheet items, was due to the annual update of loss drivers, which includes historical loss data, as well as prepayment and curtailment speeds and the impact of the conflict with Iran. The provision for credit losses of $500,000 for the third quarter of 2025 was driven by the change in economic factors during the quarter.

      • Total non-interest income was $4,308,000 for the three months ended September 30, 2026, $454,000 more than the comparable period last year.  The primary driver of the increase was an increase in BOLI earnings of $302,000 and an increase in gains on equity securities of $224,000.

      • Total non-interest expenses for the three months ended September 30, 2026 totaled $17,024,000 compared to $16,084,000 for the same period last year, which is an increase of $940,000, or 5.8%. Salary and employee benefits increased due to merit increases, an increase in FTEs of 13.7 employees and incentive compensation expenses. Other real estate owned expenses increased due to legal fees and real estate taxes associated with the increase in non-performing loans and other real estate owned. The decrease in other expenses is due to the recovery of fraud losses on customer line of credit accounts.

      • The provision for income taxes increased $215,000 when comparing the three months ended September 30, 2026 to the same period in 2025. This increase was attributable to an increase in income before provision for income taxes of $2,131,000.  The effective tax rate was 18.0% and 19.4% for the three months ended September 30, 2026 and 2025, respectively, with the decrease in the effective tax rate being due to the increase in non-taxable investment income and BOLI income.

The yield on the investment portfolio increased from 2.98% for the nine months ended September 30, 2025 to 3.59% for the nine months ended September 30, 2026 on a tax equivalent basis due to securities purchased during a higher market interest rate environment and lower yielding securities maturing. Investment activity for 2026 has focused on increasing the investment portfolio yield during periods of higher market interest rates, which has resulted in additional purchases during 2026.

      • Loans held for sale – Student loans increased $165.9 million to $245.3 million as of September 30, 2026 due to an increase in activity and seasonal activity for the first semester of college that occurs in the third quarter.

      • Net loans totaled $2.36 billion at September 30, 2026 and $2.25 billion at December 31, 2025, an increase of $115.4 million. As of September 30, 2025, net loans totaled $2.21 billion. The increase in net loans since December 31, 2025 and September 30, 2025 was due to increases in commercial real estate loans and agricultural real estate loans.

      • The allowance for credit losses - loans totaled $23,786,000 at September 30, 2026 which is an increase of $980,000 from December 31, 2025 and is due to loan growth, the conflict with Iran and an increase in specific reserves on non-performing loans. The provision for credit losses on loans was $1,088,000 for the first nine months of 2026. Loan recoveries and charge-offs were $192,000 and $300,000, respectively, for the nine months ended September 30, 2026. Excluding accumulated other comprehensive loss (AOCL), stockholders' equity increased $25.4 million and totaled $375.8 million at September 30, 2026 (non-GAAP). The increase in stockholders' equity was attributable to net income for the nine months ended September 30, 2026 totaling $32.5 million, offset by cash dividends for the nine months ended September 30, 2026 totaling $7.3 million. As a result of decreases in market interest rates impacting the fair value of investment securities and swaps, AOCL increased $12.1 million from December 31, 2025.
