
Comision Federal de Electricidad Announces Successful Results Of Consent Solicitations
MEXICO CITY, July 9, 2014 /PRNewswire/ -- Comision Federal de Electricidad ("CFE") announced today the successful completion of its previously announced consent solicitations for debt securities with an aggregate principal amount outstanding of U.S. $3 billion (the "Consent Solicitations"). Consents were obtained from holders of the requisite aggregate principal amount of each series of the outstanding debt securities for which consents were solicited pursuant to CFE's Consent Solicitation Statement dated as of June 23, 2014 (the "Consent Solicitation Statement").
CFE solicited consents to amend (the "Proposed Amendment") the indenture governing the debt securities described above to align it with proposed changes in Mexican law resulting from reforms to the Mexican energy sector that are expected to be implemented in the near future.
The Consent Solicitations expired at 5:00 p.m. (New York City time) on July 8, 2014 (the "Expiration Time"). Because the requisite consents have been received for the debt securities described above, holders of these securities may not revoke their consents. Any holder of these securities whose validly delivered consent was accepted prior to the Expiration Time will receive a consent fee equal to 0.15% of the principal amount of the series of securities held by such holder, which CFE expects to be paid on July 15, 2014.
Promptly following the Expiration Time, CFE and the trustee under the indenture will execute a supplement to the indenture in order to effect the Proposed Amendment.
