Company prepares for aggressive national and international expansion strategy
DALLAS, Nov. 2, 2015 /PRNewswire/ -- EarthWater www.EarthWater.com a manufacturer of high alkaline mineral infused beverages under the brand "FulHum" www.FulHum.com is pleased to announce it is preparing to "go public".
EarthWater Inc. (the "Company") intends to become a Public Company by filing a registration statement on Form S-1 with the U.S. Securities and Exchange Commission ("SEC") relating to a proposed initial offering of EarthWater's shares of common stock. The number of shares to be sold and the price range for the proposed offering will be determined by the underwriters. The Company expects to subsequently apply for listing its common stock on the Over the Counter QB (OTCQB) Exchange under a trading symbol to be determined.

EarthWater has engaged both Securities Counsel and a PCAOB Auditing Firm to advise the Company with respect to the proposed Initial Public Offering (IPO). The IPO will be made by means of a Prospectus only, which, when available, may be obtained from EarthWater".
The contemplated registration statement has not yet been filed with the SEC and has not yet become effective. No securities may be sold or offers to buy accepted, till after the registration statement is filed with the SEC and prior to the time the registration statement becomes effective.
In anticipation of its IPO, the Company will seek to close its Round "C" on or before November 30, 2015. The securities offered and sold in the Round "C" offering are made pursuant to the exemption from registration provided by Rule 506, promulgated under Regulation D of the Securities Act of 1933, and will not be included as part of the IPO. Moreover, the Round "C" offering is being offered to "Accredited Investors" only, and nothing herein shall be construed to be an offer to sell any such securities to any parties other than those meeting the standards for investment.
