ING Bank announces cash tender offer for any and all of the outstanding 5.800% Subordinated Notes due September 25, 2023

AMSTERDAM, Dec. 1, 2020 /PRNewswire/ -- ING Bank N.V. (the "Offeror") announces the launch of its offer to purchase for cash (the "Tender Offer") any and all of its outstanding 5.800% Subordinated Notes due September 25, 2023 (the "Notes"). The Tender Offer is made upon the terms and subject to the conditions set forth in the offer to purchase dated December 1, 2020 (the "Offer to Purchase"). The Offer to Purchase is available, subject to eligibility confirmation and registration, from the Tender Offer Website: www.dfking.com/ing. Capitalized terms used in this announcement and not otherwise defined have the meanings ascribed to them in the Offer to Purchase.

The Tender Offer will expire at 5:00 p.m., New York City time, on December 7, 2020, unless extended or earlier terminated (such time and date, as the same may be extended, the "Expiration Time"). Holders who validly tender their Notes may withdraw such Notes at any time prior to 5:00 p.m., New York City time, on December 7, 2020 (such time and date, as the same may be extended).

To receive the Total Consideration, holders must validly tender and not validly withdraw their Notes at or prior to the Expiration Time, so that they are received by the Information and Tender Agent at or prior to Expiration Time, or, for Notes that have been validly tendered pursuant to the Guaranteed Delivery Procedures, at or prior to the Guaranteed Delivery Time. 

The following table sets forth certain terms of the Tender Offer:

The Total Consideration will be calculated at the Tender Price Determination Time at 10:00a.m. (New York City time) on December 7, 2020, unless extended (such date and time, as the same may be extended), by the Dealer Managers in the manner set out in the Offer to Purchase, with reference to the Fixed Spread.

In addition to the Total Consideration, all holders of Notes accepted for purchase will also receive accrued and unpaid interest on such Notes, rounded to the nearest $0.01 per $1,000 principal amount of Notes, from the last interest payment date up to, but not including, the Settlement Date (as defined below).

The Offeror is offering to purchase any and all of the outstanding Notes, subject to the sole discretion of the Offeror to, subject to applicable law, amend the Tender Offer.

The Tender Offer is conditioned on the satisfaction of the Conditions (as defined in the Offer to Purchase). The Tender Offer is not subject to a minimum tender condition.

It is expected that payment for Notes tendered at or prior to the Expiration Time and received by the Information and Tender Agent at or prior to the Expiration Time or the Guaranteed Delivery Time, as the case may be, and accepted for purchase will be made on December 10, 2020 (the "Settlement Date").

Subject to applicable law and the terms and conditions of the Offer to Purchase, the Offeror may terminate the Tender Offer, waive any or all of the Conditions prior to the Expiration Time, extend the Expiration Time or amend the terms of the Tender Offer.

The Offeror is making the Tender Offer as a way of optimizing ING's capital structure. None of the Offeror, the Dealer Managers, or the Information and Tender Agent (nor any director, officer, employee, agent or affiliate of, any such person) makes any recommendation whether holders should tender or refrain from tendering Notes in the Tender Offer.
