Landmark Infrastructure Partners LP Announces LMRK Unit Exchange Program (UEP)

EL SEGUNDO, Calif., March 21, 2016 /PRNewswire/ -- Landmark Infrastructure Partners LP (the "Partnership") (NASDAQ: LMRK), Landmark Dividend's publicly-traded affiliate, has announced the rollout of its Unit Exchange Program (UEP), a product that allows property owners to contribute their infrastructure ground leases to the Partnership in exchange for common units in the Partnership.

Select targeted features of the Unit Exchange Program include:

• Quarterly Distributions. Units received by property owners under the program would be entitled to receive quarterly distributions announced by the Partnership on its common units;
• Tax Deferral. Unlike a sale, gains on the contributed ground lease may be tax-deferred because, in many cases, an exchange of property, such as a lease, for Partnership units does not immediately trigger gain at the property level, similar in some ways to a 1031 (like-kind) exchange;
• Diversification. Ground lease property owners mitigate concentration risk on their infrastructure asset because they would be invested in a publicly-traded partnership currently owning over 1,400 assets, primarily leased to major wireless carriers, tower, outdoor advertising and renewable energy companies.
