MagicMed Industries Inc. Announces Brokered Private Placement with Mackie Research Capital Corporation

CALGARY, AB, July 20, 2020 /PRNewswire/ - MagicMed Industries Inc. ("MagicMed" or the "Company") is pleased to announce that it has engaged Mackie Research Capital Corporation (the "Agent") to sell, by way of a private placement on a best efforts basis, up to 6,000,000 common shares in the capital of the Company ("Common Shares") at a price of $0.25 per Common Share for gross proceeds of up to $1,500,000 (the "Offering").

The Company intends to use the net proceeds from the Offering to expand the Company's scientific team, to continue development of intellectual property surrounding the Company's Psybrary^TM of psychedelic derivative molecules and for working capital and general corporate purposes.

The Common Shares to be issued under the Offering will be offered by way of private placement in all of the provinces of Canada and such other jurisdictions as the Company and the Agent may agree, pursuant to exemptions from the prospectus requirements under applicable securities laws.

The closing of the Offering is expected to occur on or about August 14, 2020 or such other date as the Company and the Agent may agree. All securities issued in connection with the Offering will be subject to resale restrictions in accordance with applicable securities laws.

The Company has agreed to pay the Agent, upon closing of the Offering, a cash commission equal to 8.0% of the aggregate gross proceeds of the Offering in addition to a work fee and certain expenses of the Agent.
