Resolute Energy Corporation Announces Common Stock Offering

DENVER, May 7, 2013 /PRNewswire/ -- Resolute Energy Corporation ("Resolute" or the "Company") (NYSE: REN) announced today that it intends, subject to market conditions, to offer 13,250,000 shares of its common stock in an underwritten public offering.  In addition, certain selling stockholders will also offer 3,000,000 shares of common stock for sale in connection with the Company's offering at the same price per share and on the same terms as offered by the Company.  Pricing and number of shares offered will be determined in the context of the market.  The selling stockholders expect to grant the underwriters a 30-day option to purchase up to an additional 2,437,500 shares solely to cover over-allotments, if any.  The Company intends to use its portion of the net proceeds from the offering to repay outstanding balances under its revolving credit facility.

Barclays, BMO Capital Markets, Citigroup, Raymond James and Wells Fargo Securities will act as joint book-runners for the offering, and Johnson Rice & Company L.L.C. and Capital One Southcoast will act as senior co-managers for the offering.
