RPM International Inc. Files New Shelf Registration Statement
MEDINA, Ohio, April 8, 2011 /PRNewswire/ -- RPM International Inc. (NYSE: RPM) today announced that it has filed an automatic shelf registration statement on Form S-3 with the Securities and Exchange Commission. The new shelf registration statement replaces a prior shelf registration statement that expired on February 14, 2011. The shelf registration statement will allow the Company to issue and sell an indeterminate amount of common stock, preferred stock, debt securities, warrants, purchase contracts and units, or any combination of these securities, in one or more future offerings. The specific terms of any future offering will be established by the Company at the time of the offering, subject to market conditions, and will be described in detail in a prospectus supplement filed at the time of any such offering. At present, the Company has no specific plans to issue securities under the shelf registration statement.
