NEW YORK, China, May 31 /PRNewswire-Asia/ -- Uni Core Holdings Corporation (OTC Bulletin Board: UCHC), as an aggressive 'company doctor' and 'incubator' of mid- to large-size companies in China is pleased to announce that the Company will sign the contract to close the acquisition of APT Paper Group Limited agreement today with the following 5 companies:

    FG Management Company Limited
    Global Golden Group Investments Co., Ltd.
    Wise Link Management Ltd.
    Plan Star Development Limited
    Sure Strong Limited

Uni Core Holdings Corporation ("the Company") will be the acquirer. The name of the combined company remains Uni Core Holdings Corporation, and is traded in OTCBB under the symbol UCHC. The acquisition date is May 31, 2010. The Company issues 440,000,000 share of common stock to acquire 100% capital stock (133,940,031 shares) of APT Paper Group Limited from the abovementioned five companies. The Company has 2,000,000,000 shares authorized with par value of US$0.001. Before the acquisition, there were 224,031,873 shares issued and outstanding. After the acquisition, the total shares issued and outstanding will be 664,031,873.

The Company will control the new combined companies and the original Uni Core Holdings Corporation senior management team will be in the same position as listed below:

Mr. Chia Hsun Wu, chief executive officer

Mr. Thomas Lee, chief financial officer and chief operating officer

The Uni Core Holdings Corporation board of directors will not change. All the members are listed as below:

The Company's headquarter remains at Suite 5204, Central Plaza, 18 Harbour Road, Wanchai, Hong Kong.

APT Paper facility at Shenzhen in China will be a key site for the combined company.

There will not be a reduction in force as a result of this acquisition. Instead, the combined company will continue to grow to capture a bigger market share.
