VineBrook Homes Trust Announces Tender Offer for up to $30 million, or 909,090 Shares, of its Class A Common Stock

DALLAS, Sept. 8, 2026 /PRNewswire/ -- VineBrook Homes Trust, Inc. ("VineBrook Homes" or the "Company") announced today it launched a tender offer (the "Offer") to purchase up to $30 million, or 909,090 shares, of its Class A common stock, par value $0.01 per share (the "Shares"), for cash at an offer price equal to $33.00 per Share (the "Offer Price"). The Offer is expected to expire at 5:00 P.M., Eastern Time, on October 5, 2026, unless the Offer is extended or withdrawn. The Offer is intended to provide stockholders with an option for limited liquidity in the absence of a public trading market, which aligns with the Company's long-term strategic objective of providing greater stockholder liquidity. The Offer is being made pursuant to the terms set forth in the offer to purchase, dated September 4, 2026 (the "Offer to Purchase"), and the related letter of transmittal (the "Letter of Transmittal").

Under the terms of the Offer, stockholders who tender their Shares will receive the Offer Price of $33.00 per Share in cash, subject to proration if the Offer is oversubscribed.

The Offer is not conditioned upon any minimum number of Shares being tendered; however, it is contingent upon the closing of a financing, among other conditions set forth in the Offer to Purchase.
