Vulcan Materials Announces The Final Results In Connection With Its Previously Announced Tender Offer
BIRMINGHAM, Ala., April 13, 2015 /PRNewswire/ -- Vulcan Materials Company (NYSE: VMC) (the "Company") announced today the final results as of 11:59 p.m., New York City time, on April 10, 2015 (the "Expiration Date") of its previously announced tender offer (the "Tender Offer") to purchase up to $200 million aggregate principal amount of its 7.00% Notes due 2018 (the "Notes").

As disclosed on March 30, 2015, $127.3 million aggregate principal amount of the Notes were validly tendered as of 5:00 p.m., New York City time, on March 27, 2015 (the "Early Tender Date"). All such Notes were accepted for purchase by the Company and settled on March 30, 2015.
After the Early Tender Date, $185,000 aggregate principal amount of the Notes were validly tendered, for a total of $127.4 million aggregate principal amount of the Notes being validly tendered as of the Expiration Date. Notes validly tendered after the Early Tender Date and accepted for purchase in accordance with the terms of the Tender Offer will be settled today via payment of the "Tender Offer Consideration" ($1,112.50).
