(Nasdaq: AEPI, the "Company" or "AEP") announced today its intention to offer $200 million in aggregate principal amount of senior notes due 2019 (the "New Notes"). The proceeds from the offering will be used to purchase the existing 7.875% Senior Notes due 2013 and pay the fees and expenses related to the offering and the tender offer and consent solicitation and, to the extent necessary, to redeem any remaining 7.875% Senior Notes due 2013 upon the completion of the tender offer and consent solicitation. The Company intends to use the remaining proceeds to repay all or a portion of the amounts outstanding under the Company's credit facility.
The New Notes will be offered in the United States only to qualified institutional buyers pursuant to Rule 144A under the Securities Act of 1933, as amended (the "Securities Act"), and outside the United States pursuant to Regulation S under the Securities Act. The New Notes have not been registered under the Securities Act and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements.
