American Capital Mortgage Investment Corp. Prices Initial Public Offering of Common Stock
BETHESDA, Md., Aug. 3, 2011 /PRNewswire/ -- American Capital Mortgage Investment Corp. (the "Company") (Nasdaq: MTGE) announced today that it has priced its initial public offering of 8,000,000 shares of common stock at $20.00 per share for total gross proceeds of $160 million. All of the shares are being offered directly by American Capital Mortgage Investment Corp. The Company has granted the underwriters a 30-day option to purchase up to an additional 1,200,000 shares of common stock at the initial public offering price to cover over-allotments, if any. The Company's common stock will begin trading on The NASDAQ Global Select Market under the symbol MTGE on August 4, 2011. The offering is subject to customary closing conditions and is expected to close on August 9, 2011.
Concurrently with the Company's initial public offering, American Capital, Ltd. ("American Capital") (Nasdaq: ACAS) has agreed to purchase $40 million (or 2,000,000 shares) of the Company's common stock at the initial public offering price in a private placement.
The Company plans to use all of the net proceeds of the initial public offering and the concurrent private placement to invest in agency mortgage investments, non-agency mortgage investments and other mortgage-related investments.
Citi, Deutsche Bank Securities, UBS Securities LLC and Wells Fargo Securities, LLC are the joint book-runners for the offering. JMP Securities LLC, Mitsubishi UFJ Securities, Nomura Securities International, Inc. and RBC Capital Markets are co-managers for the offering.
