(NYSE: ARPI) (the "Company") announced today that an affiliate of the Company plans to commence an offering this week of securities in connection with a proposed securitization transaction. The transaction involves the offering and sale of single-family rental pass-through certificates that represent beneficial ownership interests in a loan secured by a portion of the Company's portfolio of single-family properties. The securitization transaction is intended to reduce the Company's cost of capital over the long term.
The certificates will not be registered under the Securities Act of 1933, as amended. The certificates will be offered and sold in the United States to qualified institutional buyers only in accordance with the requirements of Rule 144A under the Securities Act.
