• Deal activity in 2011 was highest in June, while December registered the lowest activity.
• A revival of deal activity in the retail industry was recorded in 2011. The principal driver of deal activity changed from business expansion to strategic expansion, with the primary focus on mitigating the risks associated with dependence on domestic markets, traditional products and services, and retail formats. This was followed by the need to gain operational synergy by increasing service capabilities, adding new products and brands, and combining traditional stores with online retail formats.
• Emerging markets such as the BRIC nations (Brazil, Russia, India and China), continued to record considerable deal activity in 2011. China dominated the BRIC markets in terms of deal activity, while Brazil remained the least active.
• Partnerships, and merger and acquisitions (M&As) transactions dominated the emerging markets, with most deals reported in China. Most the deal activity recorded was from the online retail channel. The Specialist retailers channel dominated the deal activity in India.
• The top deal of the year in the retail industry was considered to be the acquisition of an Italian luxury goods retailer by LVMH for US$5.3 billion.
• Equity and debt offerings together accounted for 40% of total deal value in 2011. There were 11 announced debt offerings and four equity offerings of over US$1 billion in 2011.
• The specialist retailer channel dominated deal activity comprising 56.5%, followed by the online retail channel which accounted for 22.6%. The specialist retailer channel registered the highest deal value which represented a 44.9% share of the overall deal activity in the retail industry, followed by the hypermarkets, supermarkets and discounters channel which accounted for 20.8%.
• The North American region led the deal activity in the retail industry comprising 46.8% of the overall deals value. This was followed by the Asia-Pacific region which accounted for 24.8%. The Asia-Pacific region was clearly dominated by Asian BRIC nations China and India.
• M&A activity led the overall deal activity in the retail industry accounting for 52.6% of the overall deal categories. This was followed by partnership deals which represented 20.4%. M&A activity accounted for 41.8% of the total deal value, followed by debt offerings which comprised 25.7%.
