SPECIAL MEETING OF BALL SHAREHOLDERS
On 19 February 2015, the Boards of Ball Corporation ("Ball") (NYSE: BLL) and Rexam PLC ("Rexam") announced the terms of a recommended cash and share offer by Ball UK Acquisition Limited ("Bidco"), a wholly-owned subsidiary of Ball, for the entire issued and to be issued share capital of Rexam (the "Offer Announcement").
On 6 May 2015, in connection with the Offer, Ball filed a preliminary proxy statement in the United States with the U.S. Securities and Exchange Commission (the "SEC"). Ball has now filed a definitive proxy statement with the SEC and the definitive proxy statement will shortly be mailed by Ball to Ball Shareholders.
A special meeting of Ball Shareholders will also be held on 28 July 2015, in order to approve the issuance of New Ball Shares to Rexam Ordinary Shareholders in connection with the Offer.
Terms used in this announcement which are otherwise undefined have the same meaning as those defined in the Offer Announcement.

Ball is one of the world's leading suppliers of metal packaging to the beverage, food, personal care and household products industries.
