(NASDAQ: BAND), a software company focused on communications for the enterprise, today announced that it intends to offer and sell, subject to market and other conditions, 2,250,000 shares of its Class A common stock in an underwritten public offering pursuant to Bandwidth's existing shelf registration statement. The underwriters in the offering will have a 30-day option to purchase up to an additional 337,500 shares of Class A common stock. The offering is subject to market and other conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
Bandwidth intends to use the net proceeds from the offering for general corporate purposes.
