Buying a Company Means Buying Its Cyber Debt, Too, Quest Technology Management Warns

Quest CEO Tim Burke warns that midmarket acquirers can inherit unpatched systems, monitoring blind spots and poorly configured security tools the moment a deal closes.

ROSEVILLE, Calif., Sept. 17, 2026 /PRNewswire/ -- When one company acquires another, it takes on more than the target's customers, employees and revenue. It also takes on years of technology decisions, and some of those decisions carry real security risk.

September is National Preparedness Month, when organizations are encouraged to plan ahead for disruption, and Quest Technology Management President and CEO Tim Burke says an acquisition is one of the biggest disruptions a business takes on. The technology that comes with it can include systems that have not been patched, security tools that are no longer monitoring everything they were meant to, devices that dropped out of visibility after a configuration change, and legacy technology nobody has looked at closely in years.

None of those problems disappear at close. They become part of the buyer's environment. For midmarket companies, that can turn what looks like an integration issue into an immediate security problem.

"The mistake is treating the technology review as something to sort out after the deal closes," said Burke. "By then it is already your risk, and you have lost the leverage to price it in or walk away. The security condition of what a company is buying belongs at the same table as the financials, before anyone signs."

Cyber Diligence Has to Go Deeper Than the Tools on Paper

The question is not simply whether the acquired company has cybersecurity tools in place. It is whether those tools are configured correctly, whether the buyer can see the full environment it just inherited, and whether known weaknesses are being addressed quickly enough.

"A checklist of security products tells you what a company bought, not what it actually protects," Burke said. "Ask to see the incident history, and confirm whether the monitoring still covers the environment they have today. Until that is verified, everything being inherited should be treated as unknown, not secure."

That means looking closely before or immediately after a deal closes. Buyers need a clear picture of what systems and connected devices are actually in the environment, which known vulnerabilities and missing patches are still outstanding, and whether security and monitoring tools are covering everything they are supposed to. The need is especially real for midmarket buyers, who are often taking on these deals without the dedicated teams a large enterprise would bring to them.

The Risk Grows Once the Two Environments Connect

The exposure does not stay still once integration begins. As the two companies start connecting systems, the combined environment changes, and legacy technology no one has examined in years can become the biggest source of risk. Burke says that is often the point where problems quietly sitting inside the acquired business begin to surface.

"The most dangerous moment is the rush to connect the two networks, because that is when each company inherits the other's weaknesses," said Burke. "The companies that handle it well resist the urge to connect quickly. They get a clear picture of what they are joining, close the worst gaps first, and treat the integration as a planned project instead of an IT afterthought."

For Burke, it comes down to timing. Understanding an acquired environment is far cheaper and far safer before systems are connected than after something goes wrong. The buyers who treat that review as part of the deal, rather than a task for later, are the ones who avoid inheriting a problem they never saw coming.
