PORT WASHINGTON, N.Y., July 28, 2016 /PRNewswire/ -- Cedar Realty Trust, Inc. (NYSE: CDR – the "Company") announced today that the underwriter of its previously announced common stock offering exercised in full its option to purchase an additional 750,000 shares. As a result, the Company will issue a total of 5,750,000 shares on a forward basis in connection with the forward sale agreements described below, which will result in approximately $45.1 million of gross proceeds (assuming such forward sale agreements are physically settled in full) before any underwriting compensation and offering expenses. The offering is expected to close on August 1, 2016, subject to customary closing conditions.
BofA Merrill Lynch acted as sole bookrunner in the offering. In connection with the offering of shares of common stock, the Company has entered into forward sale agreements with Bank of America, N.A. (the "forward purchaser"), under which the Company has agreed to issue and sell to the forward purchaser (subject to the Company's right to cash settle or net settle the forward sale agreements) the same number of shares of common stock sold by Bank of America, N.A. to the underwriter in the public offering. The forward purchaser is expected to borrow from third parties and sell to the underwriters 5,750,000 shares of common stock at the close of the public offering.
Pursuant to the terms of the forward sale agreements, and subject to its right to elect cash or net share settlement, the Company intends to issue and sell, upon physical settlement of such forward sale agreements, 5,750,000 shares of common stock to the forward purchaser.
The Company expects to physically settle the forward sale agreements in full, which is expected to occur on one or more dates no later than approximately 12 months after the date of the prospectus supplement relating to the offering.
