Colony Capital, NorthStar Asset Management Group And NorthStar Realty Finance Confirm Discussions

LOS ANGELES and NEW YORK, May 6, 2016 /PRNewswire/ -- Colony Capital, Inc. (NYSE: CLNY), NorthStar Asset Management Group Inc. (NYSE: NSAM) and NorthStar Realty Finance Corp. (NYSE: NRF) today announced that they have entered into exclusive negotiations based upon a joint proposal from Colony and NRF to NSAM for a tri-party all stock "at the market" business combination based upon historical trading prices. The three companies believe that the combination would create a world-class diversified real estate and investment management equity REIT with significant scale, deep management talent, and the opportunity to generate substantial revenue and expense synergies.  There is no assurance a transaction between the parties will occur, or if a transaction occurs, the terms thereof.   The parties do not intend to provide interim updates.
