Contura Energy and Alpha Natural Resources Announce Confidential Submission of S-4 Registration Statement Related to Proposed Transaction

BRISTOL, Tenn., July 16, 2018 /PRNewswire/ -- Contura Energy, Inc. ("Contura"), along with ANR, Inc. and Alpha Natural Resources Holdings, Inc. (together, "Alpha"), today announced the confidential submission by Contura of a registration statement on Form S-4 with the U.S. Securities and Exchange Commission (SEC) relating to the previously announced proposed merger between the companies.

This initial submission is preliminary. A revised Form S-4, including a joint proxy statement for the Alpha special meetings and prospectus, containing updated information will be filed and available on the SEC's website prior to any vote by Alpha stockholders on the proposed transaction.

The completion of the transaction is subject to compliance with the Hart-Scott-Rodino Antitrust Improvements Act of 1976, as amended (the "HSR Act"). Contura and Alpha received early termination of the applicable waiting period under the HSR Act on July 2, 2018.

Contura and Alpha announced on April 30, 2018 that the companies had entered into a definitive merger agreement providing for an all-stock transaction to create a premier U.S. metallurgical coal platform and cost-competitive thermal coal portfolio. The transaction is now expected to close prior to year-end 2018.
