Discovery Labs Announces Proposed Public Offering of Common Stock, Warrants and Pre-funded Warrants

WARRINGTON, Pa., July 16, 2015 /PRNewswire/ -- Discovery Laboratories, Inc. (Nasdaq: DSCO) today announced that it has commenced an underwritten public offering of units.  Each unit will consist of one share of common stock and a Series A warrant to purchase one share of common stock.  Investors whose purchase of units in the offering would result in their beneficially owning more than the initial beneficial ownership limitation to be included in the warrants will be able to acquire Series B units consisting of a Series B pre-funded warrant and a Series B warrant to purchase one share of common stock. 

Stifel is acting as sole book-running manager, H.C. Wainwright & Co. is acting as lead manager and LifeSci Capital LLC is acting as co-manager for the offering.  While the offering is expected to price before 9:30 am EDT July 17, 2015, the offering is subject to market conditions, and there can be no assurance as to whether or when the offering may be completed, or as to the actual size or terms of the offering.
