Encorium Group Files Registration Statement for Proposed Rights Offering

WAYNE, Pa., June 14 /PRNewswire-FirstCall/ -- Encorium Group, Inc. (Nasdaq: ENCO), (the "Company") a full service multinational clinical research organization (CRO) conducting studies in over 30 countries for many of the world's leading pharmaceutical and biotechnology companies, today announced that on June 10, 2010 it filed a registration statement on Form S-1 with the Securities and Exchange Commission (the "SEC") for a proposed rights offering to its existing stockholders.  The proposed rights offering would be made through the distribution of subscription rights to purchase up to $10 million of the Company's shares of common stock, par value $0.001 per share, on the terms and conditions and at a price determined by a special committee of the Company's board of directors.

The rights offering includes an oversubscription privilege which would permit each rights holder that exercises its rights in full to purchase additional shares of common stock that remain unsubscribed at the expiration of the offering.  This oversubscription privilege is subject to the availability and allocation of shares among holders exercising this oversubscription privilege.

Chief Executive Officer, Dr. Kai Lindevall said, "The proposed rights offering is designed to provide additional working capital and liquidity to the Company by giving each stockholder a chance to buy additional shares and the opportunity to avoid dilution of their ownership interests."

Rights offering materials, including a prospectus and other items necessary to exercise the rights, will be mailed to stockholders following the time when the registration statement with respect to the rights offering is declared effective by the SEC.  The prospectus will contain important information about the rights offering, including with respect to the exercise period of the rights, and stockholders are urged to read the prospectus carefully when available
