EverBank Announces Proposed Fixed-to-Floating Rate Subordinated Notes Offering

JACKSONVILLE, Fla., Aug. 28, 2024 /PRNewswire/ -- EverBank Financial Corp (EverBank Holdings), a bank holding company that conducts its banking operations through its wholly owned subsidiary, EverBank, N.A. (EverBank), today announced that it intends to offer, subject to market conditions and other factors, a minimum of $150 million aggregate principal amount of its Fixed-to-Floating Rate Subordinated Notes due 2034 (the Notes). EverBank Holdings intends to use the net proceeds from this offering to redeem in full the $90.0 million in aggregate principal amount outstanding of its 6.00% Fixed-to-Floating Rate Subordinated Notes due 2026 (the Existing 2026 Notes) and pay accrued and unpaid interest thereon upon such redemption and to use the remaining net proceeds from this offering to redeem a portion of its 5.75% Subordinated Notes due 2025 (the Existing 2025 Notes) and pay accrued and unpaid interest thereon upon such redemption, and for general corporate purposes.

The Notes have not been and will not be registered under the U.S. Securities Act of 1933, as amended (the Securities Act), or any state securities laws, and may not be offered or sold in the United States absent registration or an applicable exemption from registration under the Securities Act and any applicable state securities laws.
