DENVER, July 13, 2016 /PRNewswire/ -- Extraction Oil & Gas Holdings, LLC ("Extraction" or the "Company") priced its previously announced private offering of senior unsecured notes due in 2021 (the "Notes Offering"). The senior unsecured notes will bear interest at 7.875% per annum. Extraction upsized the offering amount from $500 million to $550 million in aggregate principal amount. Extraction intends to use the net proceeds of the Notes Offering to repay all outstanding indebtedness under, and retire, its second lien term loan facility (including a 1% prepayment premium), to repay outstanding borrowings under its revolving credit facility and, to the extent proceeds remain, for general corporate purposes.
The closing of the Notes Offering, which is subject to customary conditions, is expected to occur on July 18, 2016. The senior unsecured notes being offered by Extraction will not be registered under the U.S. Securities Act of 1933, as amended (the "U.S. Securities Act"), and may not be offered or sold in the United States absent registration or an applicable exemption from registration requirements. The senior notes are being offered only to qualified institutional buyers in the United States under Rule 144A and outside the United States in compliance with Regulation S under the U.S. Securities Act. In Canada, the notes are to be offered and sold on a private placement basis in certain provinces of Canada.
