FleetCor Commences Initial Public Offering
NORCROSS, GA, Nov. 30 /PRNewswire/ - FleetCor Technologies, Inc. ("FleetCor"), a leading independent global provider of specialized payment products and services to commercial fleets, major oil companies and petroleum marketers, today announced that it has commenced an initial public offering of 12,675,000 shares of its common stock. The offering will consist of 12,244,039 shares of common stock to be sold by certain of FleetCor's stockholders and 430,961 shares to be issued by FleetCor. The selling stockholders expect to grant the underwriters the option to purchase up to an additional 1,901,250 shares of common stock, on the same terms and conditions, to cover over-allotments, if any.
The estimated price range is $23.00 to $26.00 per share. FleetCor's common stock has been approved for listing on the New York Stock Exchange, subject to official notice of issuance, under the symbol "FLT".
J.P. Morgan, Goldman, Sachs & Co., Barclays Capital and Morgan Stanley will act as joint book-running managers of the offering. PNC Capital Markets LLC, Raymond James and Wells Fargo Securities will act as co-managers of the offering. The offering will be made only by means of a prospectus.
