Global Net Lease Prices Public Offering of 3,000,000 Shares of 6.875% Series B Cumulative Redeemable Perpetual Preferred Stock

NEW YORK, Nov. 20, 2019 /PRNewswire/ -- Global Net Lease, Inc. (NYSE: GNL) ("GNL" or the "Company") today announced the pricing of an underwritten public offering of 3,000,000 shares of its 6.875% Series B Cumulative Redeemable Perpetual Preferred Stock (the "Series B Preferred Stock") at an offering price of $25.00 per share. In addition, the Company has granted the underwriters a 30-day option to purchase up to an additional 450,000 shares of Series B Preferred Stock. The Company has applied to list the shares of Series B Preferred Stock on the New York Stock Exchange. The Series B Preferred Stock will have a $25.00 liquidation preference per share. 

The Company expects to receive net proceeds from the offering before expenses of approximately $72.6 million and expects to close the transaction on or about November 26, 2019. The Company plans to contribute the net proceeds it receives from the offering to its operating partnership in exchange for a new class of preferred units, which will have economic interests that are substantially similar to the designations, preferences and other rights of the Series B Preferred Stock. The Company, acting through its operating partnership, intends to use the net proceeds from this contribution for general corporate purposes, which may include purchases of additional properties.
