GOLDEN DAWN CLOSED FIRST TRANCHE OF PRIVATE PLACEMENT

VANCOUVER, Aug. 25 /PRNewswire-FirstCall/ - GOLDEN DAWN MINERALS INC. (TSXV-GOM, FRANKFURT - 3G8, the "Company") announces that it has closed the first tranche of a non-brokered private placement financing of 750,000 units ("Units") at a price of $0.20 per Unit, for gross proceeds to the Company of $150,000. Each Unit consists of three flow-through common shares of the Company, one non-flow through common share of the Company and two flow-through warrants ("Warrants") of the Company. Each Warrant entitles the holder to purchase one additional flow through common share of the Company at a price of $0.12 in the first year and $0.15 in the second year from the date of issue. The proceeds of the private placement will be used towards exploration work on the Greenwood properties in British Columbia and working capital.

The Company has agreed to pay, relative to this tranche, finder's fees of $1,200 in cash and issue warrants entitling the finder to acquire 7,500 common shares for a period of 24 months from date of issuance at a price of $0.12 per share during the first 12 months and at a price of $0.15 per share during the last 12 months.

The private placement is subject to final approval from the TSX Venture Exchange.
