IntraLinks Announces Proposed Secondary Offering of Common Stock
NEW YORK, Dec. 1, 2010 /PRNewswire/ -- IntraLinks Holdings, Inc. (NYSE: IL), a leading provider of critical information exchange solutions, today announced that it has filed a preliminary prospectus in connection with the commencement of the previously announced proposed follow-on public offering of its common stock.
In this offering, which is subject to market and other conditions, the Company intends to offer 2,000,000 shares of common stock and certain selling stockholders intend to offer 7,000,000 shares of common stock for sale. In addition, the selling stockholders intend to grant the underwriters the right to purchase up to 1,350,000 additional shares, solely to cover over-allotments, if any. IntraLinks intends to use the proceeds from the shares it is selling for repayment of debt and other general corporate purposes. IntraLinks will not receive any proceeds from sales by the selling stockholders.
Morgan Stanley & Co. Incorporated, Deutsche Bank Securities Inc., Jefferies & Company, Inc. and Credit Suisse Securities (USA) LLC are acting as joint book-runners for the offering. Lazard Capital Markets LLC and Pacific Crest Securities LLC are acting as co-lead managers for the offering.
