iPayment Holdings, Inc. and iPayment, Inc. Announce Supplement No. 4 to Exchange Offer and Tender Offer and Extension of Expiration Time

WESTLAKE VILLAGE, Calif., March 29, 2017 /PRNewswire/ -- As previously announced, iPayment, Inc. (the "Company"), a trusted provider of payment and processing solutions for small and medium-sized businesses (SMBs), and its parent, iPayment Holdings, Inc. ("Holdings" and, together with the Company, "iPayment"), have launched an exchange offer in connection with a comprehensive refinancing of iPayment and have launched a related tender offer. The exchange offer and the tender offer will both expire at 5:00 p.m., New York City time, on April 6, 2017, unless extended or earlier terminated.

In connection with the exchange offer for the Company's 9.50% Senior Secured Notes due 2019, iPayment today issued Supplement No. 4 to the Offer to Exchange, which sets out additional information that may be of interest to holders considering participation in the exchange offer. The purpose of the Supplement No. 4 to the Offer to Exchange and Consent Statement is to (i) extend the Expiration Time of the Exchange Offer until 5:00 p.m., New York City time, on April 6, 2017, unless further extended or earlier terminated, (ii) reflect the extension from March 31, 2017 to April 14, 2017 of the deadline after which, if the Transactions (as defined in the Support Agreement) shall not have been consummated, the Company or holders of a majority in principal amount of the Existing Notes held by holders of Existing Notes party to the Support Agreement in the aggregate may terminate the Support Agreement, (iii) amend and replace the form of Supplemental Indenture to the Existing Indenture, (iv) revise the description of the terms of the indebtedness that will be outstanding following consummation of the Offer, and (v) make certain additional disclosures. The deadline for withdrawal of tendered Existing Notes has expired.
