
ISA Capital do Brasil S.A. Announces it has Received Requisite Consents with Respect to its Offer to Purchase and Consent Solicitation for its 8.800% Senior Notes due 2017
SAO PAULO, Feb. 25 /PRNewswire/ -- ISA CAPITAL DO BRASIL S.A. (the "Company"), a stock corporation (sociedade por acoes) organized under the laws of Brazil, today announced that it had received, as of 5:00 p.m., New York City time, on February 24, 2010, tenders and consents from holders of U.S.$287,157,000, or approximately 81.12%, of the outstanding 8.800% Senior Notes due 2017 (the "Notes") in connection with its cash tender offer and consent solicitation for the Notes, which commenced on February 8, 2010. As a result, the Company has received the Requisite Consents related to its Consent Solicitation.
It is expected that the Company will execute an indenture supplement (the "Indenture Supplement") to the indenture governing the Notes (the "Indenture") to, among other things, eliminate substantially all of the restrictive covenants and certain events of default provisions in the Indenture. Although the Company is expected to execute the Indenture Supplement promptly, the Indenture Supplement will not become effective until the Notes validly tendered prior to 5:00 p.m. New York City time, on March 8, 2010 (such date and time, as the same may be extended, the "Expiration Date") are accepted for purchase pursuant to the terms of the Offer to Purchase and Consent Solicitation Statement dated February 8, 2010 (the "Offer to Purchase and Consent Solicitation Statement").
The consent date was 5:00 p.m. New York City time, on February 24, 2010 (the "Consent Date"). Holders who validly tendered Notes and delivered their consents at or prior to the Consent Date will receive the Total Consideration of U.S.$1,117.50 per U.S.$1,000 principal amount of the Notes accepted for purchase, which includes a Consent Payment of U.S.$35.00, in addition to the Tender Consideration. Holders who validly tender their Notes after the Consent Date but before the Expiration Date will not receive the Consent Payment, but will receive payment of the Tender Consideration of U.S.$1,082.50 per U.S.$1,000 principal amount of the Notes validly tendered and accepted for purchase on the payment date in accordance with the terms set forth in the Offer to Purchase and Consent Solicitation Statement. The tender offer will expire at the Expiration Date unless extended.
