MIAMI, July 22, 2015 /PRNewswire/ -- Jarden Corporation ("Jarden" or the "Company") (NYSE: JAH) announced today the closing of its underwritten public offering of 18,400,000 shares of its common stock priced at $54.50 per share, which includes the exercise in full by the underwriters of their option to purchase up to 2,400,000 additional shares of common stock.
After deducting underwriting discounts and commissions and other estimated offering expenses, the net proceeds of the offering were approximately $969.0 million. The Company expects to use the net proceeds of the offering to fund a portion of the purchase price and related fees and expenses for the recently announced acquisition of Waddington Group, Inc. ("Waddington"). The offering was not conditioned on the closing of the acquisition of Waddington and the Company cannot assure you that such acquisition will be completed. If the acquisition of Waddington is not completed, the Company intends to use the net proceeds from the offering for general corporate purposes.
Barclays Capital Inc., Credit Suisse Securities (USA) LLC and UBS Securities LLC acted as lead book-running managers for the offering. RBC Capital Markets, LLC, SunTrust Robinson Humphrey, Inc. and Wells Fargo Securities, LLC acted as joint book-running managers for the offering.
