LW Capital Pool Inc. Proposed Stock Option Grant

OTTAWA, Nov. 7, 2012 /CNW/ - LW Capital Pool Inc. (NEX: LWI.H) (the "Company"), a capital pool company, announces that in recognition of his extraordinary contributions to the Company, Richard Boadway, Chairman, Chief Financial Officer and director of the Company, will be granted options to purchase 363,000 common shares in the capital of the Company, at an exercise price of $0.10 per share, to be effected on such date as is determined by the NEX.  The grant of options to Mr. Boadway represents 5% of the issued and outstanding shares in the capital of the Company.

The Company is designated as a Capital Pool Company by the TSX-V.  The Company has not commenced commercial operations and has no assets other than cash.  The Company continues to actively pursue a Qualifying Transaction.  Any proposed Qualifying Transaction must be approved by the TSX-V and, in the case of a non-arm's length Qualifying Transaction, must also receive majority approval of the minority shareholders.  Until the completion of a Qualifying Transaction, the Company will not carry on any business other than the identification and evaluation of businesses or assets with a view to completing a Qualifying Transaction.
