MEXICO CITY, May 4, 2017 /PRNewswire/ --Maxcom Telecomunicaciones, S.A.B. de C.V. (OTCQX: MXMTY, BMV: MAXCOM A) ("Maxcom" or the "Company") today announced that it has amended its tender offer (the "Tender Offer") to purchase up to U.S.$25,000,000 (the "Maximum Tender Amount") of the outstanding Step-Up Senior Notes due 2020 issued by Maxcom (CUSIP No. 57773AAL6; ISIN US57773AAL61) (the "Notes"), as described in Maxcom's Offer to Purchase dated April 25, 2017 (the "Offer to Purchase").
The Company has amended the terms of the Offer to Purchase to allow Notes to be tendered in principal amounts less than the minimum denomination of U.S.$150,000, and will accept for purchase validly tendered notes in principal amounts equal to or greater than $1.00. In such case, the holder (the "Holder") should tender its entire holding. Any Holder that, following purchase of the Notes on the settlement date (including as a result of any pro-ration, if applicable), continues to hold in its account with the relevant Clearing System further Notes in an aggregate principal amount outstanding of less than U.S.$150,000, would need to purchase a principal amount of Notes such that its holding amount increases to at least the U.S.$150,000 of Notes before (1) the Notes it continues to hold may be traded in the relevant Clearing System or (2) it may receive a definitive Note in respect of such holding (should definitive Notes be printed). If proration of the tendered Notes is required, validly tendered Notes in principal amounts less than U.S.$150,000 will be accepted in full or rejected in full at the Company's discretion.
All other terms and conditions of the Offer to Purchase remain unchanged.
