GREENSBORO, N.C., Nov. 19, 2015 /PRNewswire/ -- Morningbell Wellness, LLC announced today that it has acquired Arterosil® and its assets from Vascular Health Sciences, LLC (VHS). VHS developed Arterosil®, a first-in-class nutritional supplement proven to support a healthy glycocalyx. The glycocalyx is the slippery gel-like lining of every artery, vein and capillary in the human body which, when healthy, inhibits cholesterol and other particulates from adhering to the walls of the blood vessels.

The assets purchased by Morningbell Wellness include (but are not limited to) the Arterosil® and ArterosilHP® nutritional formulas, along with all finished and raw material inventory, equipment, human clinical studies, marketing materials, brands and copyrights.

Morningbell Wellness acquired the assets of VHS in cooperation with VHS lenders and with full approval of all VHS shareholders. The acquisition followed a legal dispute between VHS and Daniel's Health Sciences, LLC (DHS). That litigation was settled on April 28th, 2014 with both VHS and DHS dropping all claims and counter-claims against one another and with no restriction upon the ability of VHS to manufacture and market Arterosil® and ArterosilHP®. Nevertheless, the litigation costs left VHS with inadequate resources to continue as a viable entity.
The transaction was completed through private sales conducted by VHS's secured lenders under Article 9 of the Uniform Commercial Code. As part of the sale, Morningbell Wellness also acquired Vascular Health Sciences' trade names, trademarks and all other intellectual property apart from the name Vascular Health Sciences.
Morningbell Wellness has approached Calroy Health Sciences, LLC to market the Arterosil® and ArterosilHP® branded products.
