NeuroBo Pharmaceuticals Announces $7.5 Million Registered Direct Offering
BOSTON, April 14, 2020 /PRNewswire/ -- NeuroBo Pharmaceuticals, Inc. (Nasdaq: NRBO), a clinical-stage biotechnology company focused on developing and commercializing multimodal, disease-modifying therapies for neurodegenerative and cardiometabolic diseases, today announced that it has entered into a definitive agreement with a single healthcare-focused institutional investor for the purchase and sale in a registered direct offering of 750,000 shares of the Company's common stock, at a purchase price of $10.00 per share. The closing of the offering is expected to occur on or about April 16, 2020, subject to the satisfaction of customary closing conditions.
H.C. Wainwright & Co. is acting as the exclusive placement agent for the offering.
The gross proceeds to NeuroBo from this offering are expected to be $7.5 million, before deducting the placement agent's fees and other offering expenses. The Company intends to use the net proceeds from this offering for working capital, capital expenditures and general corporate purposes.
The shares of common stock are being offered by NeuroBo pursuant to a "shelf" registration statement on Form S-3 (File No. 333-220315) previously filed with the Securities and Exchange Commission (the "SEC") on September 1, 2017 and declared effective by the SEC on September 12, 2017.
