Newland International Properties Corp. Announces Extension of Tender Offer for 9.50% Senior Secured Notes due 2017
PANAMA CITY, Nov. 19, 2015 /PRNewswire/ -- Newland International Properties, Corp. ("Newland") today announced the extension of its previously announced tender offer (the "Offer"), to purchase for cash up to $36.0 million (the "Tender Cap") in aggregate principal amount of its outstanding 9.50% Senior Secured Notes due 2017 (the "Notes") listed in the table below on the terms and subject to the conditions set forth in the Offer to Purchase, dated October 21, 2015, as supplemented by the Supplement dated November 6, 2015 (collectively, the "Offer to Purchase"), and in the related Letter of Transmittal (the "Letter of Transmittal"). The Offer was scheduled to expire as of 11:59 p.m., New York City time, on November 18, 2015 (the "Original Expiration Date"). The Offer will now expire at 5:00 p.m., New York City time, on November 19, 2015, unless further extended (the "Extended Expiration Date"). Except for the extension of the Expiration Date, all of the other terms of the Offer remain as set forth in the Offer to Purchase and the Letter of Transmittal. The deadline for withdrawal of Notes tendered prior to the Original Expiration Date remains at the Original Expiration Date and will not be extended. Accordingly, Notes tendered after the Original Expiration Date and prior to the Extended Expiration Date may not be withdrawn.
