Omeros Announces Proposed Public Offering of Common Stock and Pre-Funded Warrants
SEATTLE, Jan. 28, 2015 /PRNewswire/ -- Omeros Corporation (NASDAQ: OMER) today announced its intention to offer, subject to market and other conditions, shares of its common stock and pre-funded warrants to purchase shares of its common stock in a registered underwritten public offering. The pre-funded warrants shall be offered at the same price per share as the common stock, less the $0.01 per share exercise price of each pre-funded warrant. Omeros also expects to grant the underwriters a 30-day option to purchase up to an additional 15 percent of the shares of common stock offered in the public offering solely to cover overallotments, if any.
Omeros intends to use the net proceeds of the offering for general corporate purposes, including expenses related to the commercialization of Omidria™, research and development expenses, such as funding clinical trials, pre-clinical studies, manufacturing development and costs associated with otherwise advancing the company's drug candidates toward New Drug Application submissions. Omeros may also use the net proceeds for working capital, the repayment of debt obligations, acquisitions or investments in businesses, products or technologies that are complementary to its own, and other capital expenditures.
Cowen and Company, LLC is acting as the sole book-running manager for the offering.
Omeros intends to offer and sell these securities pursuant to its existing automatic shelf registration statement (File No. 333-201581), which was filed with the Securities and Exchange Commission on January 16, 2015 and was automatically effective.
