Operadora De Servicios Mega, S.A. de C.V., SOFOM, E.R. Announces Early Tender Participation Results, Early Payment and Extension of Early Tender Period in respect of its Tender Offer for up to U.S.$100,000,000 Aggregate Principal Amount of its Outstanding 8.250% Senior Notes Due 2025

JALISCO, México, Dec. 15, 2022 /PRNewswire/ -- OPERADORA DE SERVICIOS MEGA, S.A. DE C.V., SOFOM, E.R. (the "Company") announced today the early tender participation results as of December 14, 2022 at 5:00 P.M., New York City time (the "Early Tender Deadline") in respect of the previously announced offer to purchase (the "Tender Offer") up to U.S.$100,000,000 aggregate principal amount (the "Tender Cap") of its outstanding 8.250% Senior Notes due 2025 (CUSIP Nos. 68373N AA3/P73699 BH5; ISIN Nos. US68373NAA37/USP73699BH55) (the "Notes"). The Company further announced that as of the Early Tender Deadline, the Company had received tenders (not validly withdrawn) from the holders of U.S.$11,468,000 of the total outstanding principal amount of the Notes, and that it has accepted for purchase U.S.$11,468,000 of the outstanding principal amount of such Notes pursuant to the Tender Offer.

The Company has elected to exercise its early purchase option described in the Offer to Purchase, dated December 1, 2022 (as amended or supplemented from time to time, the "Offer to Purchase"), relating to the Tender Offer. Subject to the conditions set forth in the Offer to Purchase, holders of Notes who validly tendered their Notes at or prior to the Early Tender Deadline and did not validly withdraw their Notes at or prior to such time will receive on December 16, 2022 (the "Early Payment Date") the total consideration of U.S.$500 (the "Total Consideration") for every U.S.$1,000 principal amount of the Notes validly tendered and not withdrawn at or before the Early Tender Deadline and accepted in the Tender Offer, which includes an early tender payment of U.S.$50 (the "Early Tender Payment") for each U.S.$1,000 principal amount of Notes, plus accrued and unpaid interest from the last interest payment date for the Notes to, but not including, the Early Payment Date.

In order to provide holders and beneficial owners of Notes with additional time to receive and analyze the Offer to Purchase and related materials, and tender their Notes in accordance with the applicable procedures as described by us therein, the Company has decided to extend the Early Tender Deadline to 11:59 P.M. New York City time on December 29, 2022, which is also the expiration time of the Tender Offer (the "Expiration Time"), and provide the Early Tender Payment to any holder that validly tenders its Notes prior to the Expiration Time.  Accordingly, holders of Notes who validly tender their Notes at or prior to the Expiration Time will receive the Total Consideration for every U.S.$1,000 principal amount of the Notes validly tendered at or before the Expiration Time and accepted in the Tender Offer, which includes the Early Tender Payment, plus accrued and unpaid interest from the last interest payment date for the Notes to, but not including, the purchase date therefor. 

The Company's obligations to accept any Notes validly tendered and not withdrawn and to pay the consideration for them are set forth solely in the Offer to Purchase.
