
Organic Plant Health Provides Results of Certified Audit and Announces Plan to Improve Pink Sheets Listing to Fully Reporting
CHARLOTTE, N.C., May 26, 2011 /PRNewswire/ -- Organic Plant Health, Inc., (OPHI), (OTC MARKETS: OPHI), an exclusive manufacturer and distributor of organic-based fertilizers and soil conditioners, announced today that they have received the final audit report which was completed by SEC auditing firm Silberstein Ungar, PLLC. The extensive audit of the last two years of Organic Plant Health's financials showed revenue for 2009 of $1,062,163.00, and 2010 of $1,026,995.00. In spite of 2010 revenues being slightly lower than the previous year, the gross profits increased to 55% of total revenue, which represents a 10% increase over 2009. The company also decreased operational expenses in 2010 by $54,000 from the previous year's by the reduction of excess inventory as management successfully refined its raw goods purchasing process and was able to shed itself of surplus materials. Overall liabilities were also reduced by nearly $100,000 over the same period. The company also realized a 30% reduction in its reported losses, year over year, decreasing to $336,000 in 2010 from $482,000 in 2009. The complete audit details will be uploaded to Pink Sheets very soon. Additionally, first quarter results for fiscal year 2011 are almost complete and are expected to be released shortly.
The company also reported that it has begun taking the necessary steps towards improving its market tier status on Pink Sheets. The Interim Financial Disclosure Statement is currently being updated and the process of completing the Attorney Opinion Letter is underway. Upon completion of these steps the company expects to have its status listed as a fully reporting Pink Sheet company.

Organic Plant Health also restated its previously announced plans to file an S-1 registration with the SEC in the coming weeks. The company has retained securities attorney Frank J. Hariton of New York to perform the necessary investigation and complete the filing. Organic Plant Health management reiterated their commitment to register only restricted stock under SEC rule 144 as part of the S-1 filing. The company also informed that a preliminary report released in December 2010 for the period ending October 31, 2010 erroneously overstated sales for the period. The minor error was due to an accounting procedure that has since been corrected. Mr. Styles said, "I regret any inconvenience that this miscalculation may have caused. The report in question was preliminary and the mistake was corrected before the final report was issued.
