Pentair Announces Date For Special Meeting Of Shareholders In Connection With Tyco Flow Control Merger

MINNEAPOLIS, July 26, 2012 /PRNewswire/ -- Pentair, Inc. (NYSE: PNR) announced today that it has established the date for a special meeting of its shareholders to consider and vote upon, among other matters, a proposal to approve the previously announced merger agreement providing for the tax-free, all-stock merger of Pentair and the flow control business of Tyco International Ltd.

Pentair shareholders of record at the close of business on July 27, 2012 will be entitled to notice of the special meeting and to vote at the special meeting. The special meeting will be held on September 14, 2012 at 9:00 a.m. at The Metropolitan Ballroom, 5418 Wayzata Blvd., Golden Valley, Minnesota.

In addition to the approval of Pentair shareholders, the completion of the merger remains subject to the approval of the spin-off by Tyco shareholders, regulatory approvals and other customary closing conditions.
