P&F Industries, Inc. Acquires Air Tool Service Company
MELVILLE, N.Y., Aug. 14, 2014 /PRNewswire/ -- P&F Industries, Inc. (NASDAQ: PFIN) announced today that as of the close of business August 13, 2014, through a newly-formed subsidiary, it has acquired substantially all of the assets comprising the business of Air Tool Service Company ("ATSCO"), an Ohio based corporation engaged in the manufacture and distribution of pneumatic tools and parts. The purchase price consisted of approximately $7,659,000 in cash and the assumption of certain payables and liabilities, and is subject to a post-closing working capital adjustment. The newly acquired company will be a wholly-owned subsidiary of P&F's Hy-Tech Machine, Inc. The Company believes that this acquisition will be immediately accretive to earnings.
