Pioneer Power Solutions Closes Public Offering and Full Exercise of Over-Allotment Option

FORT LEE, N.J., Sept. 24, 2013 /PRNewswire/ -- Pioneer Power Solutions, Inc. (Nasdaq: PPSI) ("Pioneer" or the "Company") today announced the closing of its previously announced underwritten public offering of 1,100,000 shares of its common stock, as well as 165,000 additional shares of its common stock pursuant to the full exercise of the over-allotment option granted to the underwriters.

The shares were sold at the public offering price of $7.00 per share and the Company estimates the aggregate net proceeds to the Company will be approximately $7.8 million, after deducting underwriting discounts and commissions and other estimated offering expenses.

The Company intends to use the proceeds of this offering to repay its outstanding borrowings under a U.S. revolving credit line with Bank of Montreal, Chicago Branch, with the remaining balance to be used to fund acquisitions, working capital and other general corporate purposes.

Roth Capital Partners acted as sole book-running manager for the offering. Monarch Capital Group acted as co-manager.
