BOSTON, Dec. 11, 2017 /PRNewswire/ -- Santander Holdings USA, Inc. (the "Company") announced today that it has priced $1,000,000,000 in aggregate principal amount of 3.400% senior unsecured notes due 2023 (the "New Fixed Rate Notes") and $250,000,000 in aggregate principal amount of 4.400% senior unsecured notes due 2027 (the "New 2027 Notes" and, together with the New Fixed Rate Notes, the "Notes") in a private offering exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act"). The New 2027 Notes will be issued as additional notes under the indenture pursuant to which the Company's existing 4.400% senior unsecured notes due 2027 were issued in July 2017. The Company expects to use the net proceeds from the offering for general corporate purposes. The Notes offering is expected to close on December 18, 2017. The closing is subject to the satisfaction of customary closing conditions, and there can be no assurance that the issuance and sale of the Notes will be consummated.
The Notes will be offered and sold only to qualified institutional buyers in the United States pursuant to Rule 144A and outside the United States pursuant to Regulation S under the Securities Act.
