IRVINE, Calif., Dec. 7, 2010 /PRNewswire-FirstCall/ -- Standard Pacific Corp. (NYSE: SPF) today announced that it intends to issue and sell $650 million aggregate principal amount of senior notes, with a portion of the proposed new notes to be additional notes to the Company's outstanding 8 3/8% senior notes due 2018 (the "2018 notes"), and a portion of the proposed new notes to be a new series of senior notes due 2020, in a private offering that is exempt from the registration requirements of the Securities Act of 1933, as amended (the "Securities Act").  The notes will be senior unsecured obligations of the Company, and will be guaranteed on a senior basis by all of the Company's subsidiaries that have guaranteed the Company's outstanding 2018 notes.  The additional 2018 notes will initially be issued under a CUSIP number different from the CUSIP number applicable to the outstanding 2018 notes.

The notes are being offered in the United States only to qualified institutional buyers in reliance on Rule 144A under the Securities Act, and outside the United States only to non-U.S. investors pursuant to Regulation S under the Securities Act.  The notes will not be registered under the Securities Act, and, unless so registered, may not be offered or sold in the United States absent registration or an applicable exemption from, or in a transaction not subject to, the registration requirements of the Securities Act and other applicable securities laws.
